ELIGIBILITY: The Pepperidge Farm Distinctive Cracker Sweepstakes (the “Sweepstakes”) is open only to Food Service professionals (Directors, Managers, Owners/Operators, Chefs, and Caterers) legally residing in the fifty (50) United States and The District of Columbia who are eighteen (18) years of age or older at the time of entry. Employees of Pepperidge Farm, Incorporated, Direct Hit Data, Inc., Noble Communications Company and their respective parent companies and affiliates, advertising and promotions agencies and the immediate family members or household members (any persons who have resided in the same household for a period of at least 3 months during the year preceding the start of sweepstakes) of each are not eligible to participate in Sweepstakes. The Sweepstakes is subject to all federal, state, and local laws and regulations and is void in Puerto Rico and where prohibited by law.

TIMING: The Sweepstakes begins on August 16, 2007 at 12:00 A.M. Eastern Standard Time (“EST”) and ends on November 30, 2007 at 11:59 P.M. EST (the “Sweepstakes Period”).

HOW TO ENTER: Go to www.pepperidgefarmcrackers.com and follow the links and instructions for entry. Completely fill out the entry form and submit the required information. Limit One (1) entry per foodservice professional or email address for the entire Sweepstakes Period. An entrant’s use of any agencies or automated software to submit entries will void all entries submitted by, or on behalf of, that entrant. Once submitted, all entries become the exclusive property of Sponsor and will not be acknowledged nor will they be returned.

PRIZE DETAILS: One (1) Grand Prize: Four-day/three-night trip for two to Napa Valley. Trip includes: round trip coach air transportation for two from major airport nearest winners residence to San Francisco or Oakland, California (as determined by Sponsor). One room/double occupancy hotel accommodations for three nights. Dinner for two at the Culinary Institute of America's (CIA) Wine Spectator Greystone Restaurant, Five Hundred Dollars ($500.00) cash for meal expenses. Full-size car rental for four days. Car rental subject to winner holding a valid diver’s license and qualifying as an eligible driver under applicable car rental company policy (including the attainment of age 25) and other rental car company terms and conditions. Car rental does not include gas, tolls, parking fees, collision waiver insurance, or any other related fees. Subject to car rental company terms and conditions. Winner and winner’s guest must travel on same itinerary. Minors must be accompanied by parent or legal guardian. Trip must be booked by July 31, 2008 and taken by December 15, 2008. Exact travel dates and arrangements are subject to availability, blackout dates and other restrictions. Approximate retail value (ARV) of Grand Prize $4,250.00. Actual value may vary depending on winner’s point of travel origin, airfare and hotel fluctuations. Any difference between stated ARV and actual value will not be awarded. Airport, airline, and hotel accommodations for the trip are to be selected by Sponsor. All meals, gratuities, and other expenses associated with the Grand Prize not specifically mentioned in these rules are the winner’s responsibility. One Hundred (100) First Prizes: One (1) year-long subscription to Gourmet Magazine (approximate retail value of First Prize - $13.00). Winners are responsible for any applicable fees, service charges, surcharges or passenger facility charges, and all insurance, federal, state and local taxes, if any, incidentals and any other unspecified expenses associated with acceptance or use of the Prize. Grand Prize Trip winner and guest must sign travel release and tax form. Prizes are provided “as is” and without any warranty of any kind. Prizes are non-transferable. No cash redemption or prize substitution allowed by winner. Sponsor reserves the right to substitute prize of equal or greater value if advertised prize becomes unavailable. Limit one prize per household/family. Total value of all prizes $5,550.00.

DRAWING AND AWARDING OF PRIZES: There will be One (1) Grand Prize and One Hundred (100) First Prizes awarded. On or about January 18, 2008 Direct Hit Data, Inc., an independent organization (“Administrator”) will select the winners in a random drawing from among all eligible entries received by Sponsor. The Administrator’s decisions will be final in all matters relating to this Sweepstakes. The potential winners will be notified by phone and/or certified mail. If any prize, prize notification or attempted notification is returned as undeliverable, the prize will be forfeited and may be awarded to an alternate winner. All prize claims are subject to verification by Sponsor, and all winners must be foodservice professionals. The potential winners must complete, sign, and return an Affidavit of Eligibility (which affirms that he/she has complied with these rules) as well as a liability release, and where legal, a publicity release, each of which, if issued, must be completed, signed and returned within fourteen (14) days from date of issuance or prize will be forfeited. If any prize, prize notification or attempted notification is returned as undeliverable, the prize will be forfeited and may be awarded to an alternate winner.

ODDS: Odds of winning depend upon the number of eligible entries received. No purchase necessary to enter or win. A purchase does not increase your odds of winning.

USE OF DATA: Sponsor will be collecting personal data about participants online, in accordance with its privacy policy. Please review the Sponsor's privacy policy at www.pepperidgefarmcrackers.com. By participating in the Sweepstakes, entrants hereby agree to Sponsor's collection and usage of their personal information and acknowledge that they have read and accepted Sponsor's privacy policy.

AGREEMENT TO OFFICIAL RULES: By participating in Sweepstakes, each entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of Sponsor, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein. Except where prohibited by law, acceptance of a prize constitutes each winner’s consent to use of his/her name, likeness, biographical information, and/or photograph without further compensation for advertising, Sweepstakes and publicity purposes by Sponsor. By accepting a prize, winners acknowledge compliance with these Official Rules.

VERIFICATIONS OF WINNERS: All potential winners are subject to verification by Sponsor, whose decisions as to the administration and operation of the Sweepstakes, the interpretation of the Official Rules and the selection of potential winners are final. In the event of dispute as to who submitted an online entry, the entry will be deemed submitted by the Authorized Account Holder of the email address submitted at the time of entry. “Authorized Account Holder” is defined as the natural person assigned to an email address by an Internet access provider, on-line service provider or other organization responsible for assigning email addresses for the domain associated with the email address in question.

OTHER CONDITIONS: All federal, state and local laws and regulations apply. In the event that the operation, security, administration, or integrity of the Sweepstakes is impaired in any way for any reason, including fraud, virus, technical problem, or any other factor beyond Sponsor’s reasonable control, the Sponsor may, in its sole discretion, either (a) suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules; or (b) award the prize at random from among the eligible entries properly received up to the time of the impairment. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules, or in any disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes is a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend this Sweepstakes or any portion hereof, or to disqualify any individual implicated in any of the following actions, if for any reason: (a) infection by computer virus, bugs, tampering, unauthorized intervention, actions by entrants, fraud, technical failures, or any other causes which, in Sponsor’s sole opinion, corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes, (b) the Sweepstakes or any website associated therewith (or any portion thereof) becomes corrupted or does not allow the proper processing of entries per these rules, or (c) the Sweepstakes is otherwise not capable of running as planned by Sponsor. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

RELEASE, LIMITATIONS OF LIABILITY, AND ACKNOWLEDGMENT: By participating in the Sweepstakes, entrant agrees to release and hold harmless Pepperidge Farm Incorporated, Direct Hit Data, Inc., Noble and their respective parents, subsidiaries, officers, directors, employees, and agents (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of any prize, including, but not limited to: (a) unauthorized human intervention in the Sweepstakes; (b) technical errors related to computers, servers, providers, or telephone or network lines; (c) printing errors; (d) errors in the administration of the Sweepstakes the processing of entries; (e) late, lost, or undeliverable mail; or (f) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt of any prize. Entrant further agrees that in any cause of action, the Released Parties’ liability(s) to entrant will be limited to the cost of entering and participating in the Sweepstakes, and in no event shall the Released Parties be liable to entrant for attorney’s fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

DISPUTES: Except where prohibited, entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes shall be resolved individually, without resort to any form of class action and exclusively by the appropriate court located in the State of Missouri. Additional restrictions may apply. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights and obligations or the rights and obligations of the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with the laws of the State of Missouri, without giving effect to any choice of law or conflict of law rules (whether of the State of Missouri, or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than the State of Missouri.

WINNERS LIST/OFFICIAL RULES: To request a copy of the Official Rules and/or a list of all winners, send a self-addressed, stamped envelope to Pepperidge Farm Distinctive Cracker Sweepstakes Winners List/Official Rules, 2155 W. Chesterfield Blvd., Dept. KB, Springfield, Missouri 65807. Requests must be received before February 18, 2008. Vermont residents may omit return postage.
